By engaging in services from CareComply Consulting (“we,” “our,” or “us”), you agree to comply with and be bound by the following terms and conditions (“Terms”). Please read these Terms carefully. If you do not agree to these Terms, you must not use our services.
1. Services Provided
1.1. Scope of Services: CareComply Consulting provides a range of services to residential long-term care providers, including case management, compliance reviews, licensing support, customized care plans, and operational consulting. Details regarding specific services may vary.
1.2. Advisory Nature: Our services are advisory and do not replace legal, medical, or financial counsel. Clients are responsible for implementing recommendations and ensuring compliance with applicable laws and regulations.
2. Client Responsibilities
2.1. Timely and Accurate Information: Clients must provide complete and accurate information necessary for the provision of our services. Information must also be provided in a timely manner to ensure efficient service delivery. Clients understand their participation is necessary for us to effectively offer our services.
2.2. Compliance: Clients are responsible for adhering to all applicable laws, regulations, and industry standards related to their operations.
3. Fees and Payments
3.1. Pricing: Fees for services are outlined in our invoices, proposals, or agreements and are subject to change.
3.2. Payment Terms: Half of the payment is due before services are rendered, with the final payment due within 30 days of the completed service. This does not apply to services billed at our hourly rate, which are payable in full upon receipt of the invoice, or subscription services.
3.3 Mileage. For in-person services, we charge the current IRS per mile rate for travel to your location. This fee will be included in the total charge for services.

4. Confidentiality
4.1. Confidential Information: We will maintain the confidentiality of all non-public information shared by clients, except as required by law or with client consent.
4.2. Client Obligations: Clients agree to keep confidential any proprietary information or materials shared by CareComply Consulting.
5. Forms Subscription Service
5.1. Service Overview: Our forms subscription service provides clients with access to a comprehensive package of customizable forms and templates for use in residential care operations. Subscriptions are valid for a one-year term from the date of purchase.
5.2. Access and Usage: Clients receive access to the forms package upon payment. The materials are provided under a limited license for internal use only and must not be shared, resold, or distributed outside the subscribing organization. Sharing forms and policies supplied through this subscription with outside parties is in direct violation of these Terms and may result in legal action.
5.3. Renewals: Clients may renew their subscription annually to maintain access to updated forms and templates. Renewal fees will be communicated prior to the subscription’s expiration.
5.4. Cancellation and Refunds: Subscriptions may be canceled at any time; however, fees are non-refundable once access to the forms package has been granted.
5.5. Updates to Forms: We periodically update forms to reflect regulatory changes and best practices. Subscribing clients will have access to the latest versions during their subscription period.
6. Intellectual Property
6.1. Ownership: Materials provided by CareComply Consulting, including templates, concepts, forms, and policies, remain our intellectual property. Clients receive a limited license to use these materials for internal purposes only.
6.2. Restrictions: Clients may not reproduce, distribute, or modify our materials without prior written consent.
7. Limitation of Liability
7.1. No Guarantee: While we strive for accuracy and quality, we do not guarantee specific outcomes as a result of our services.
7.2. Liability Cap: Our liability for any claim arising from our services is limited to the amount paid by the client for the specific service in question.
8. Termination
8.1. Termination by Client: Clients may terminate services at any time by providing written notice. Fees for completed work are non-refundable.
8.2. Termination by CareComply Consulting: We reserve the right to terminate services for non-compliance with these Terms or for any other reason at our discretion.
9. Dispute Resolution
9.1. Good Faith Negotiations: Parties agree to attempt resolution of disputes through good faith negotiations before pursuing other remedies.
9.2. Governing Law: These Terms are governed by the federal laws of the United States of America, without regard to conflict of law principles.
10. Changes to Terms
These Terms may be periodically updated. Any changes will be communicated via email and posted on our website. Continued use of our services constitutes acceptance of the updated Terms.
